Service & Payment Terms: FULL TEXT - WAY TO RUSSIA HOTLINE INFORMATION SERVICE AGREEMENT The simple desciption of the reservation process is provided below. The full agreement version can be found after this description. Way To Russia is an information resource and the service we provide is purely informational. We provide information about hotels available for rent to help you make an informed choice, but do not reserve or operate the hotels ourselves. We are not intermediaries, because you will handle the payment and arrival directly with the owner, thus, all the rights and obligations regarding the actual accommodation arise only between you and the owner, not Way to Russia. We are here to protect your interests, to help you make an informed choice, and to facilitate the booking process. We developed a standartised reservation process, which allows you to book an hotel easily, quickly, and with a minimum effort. Step 1: Browse through the hotel listings and select the option you like. Don't forget to read Way to Russia comments to see what is good and what is bad about the hotel. Step 2: After the hotel is chosen, fill out the reservation form and submit it to Way to Russia Hotline. Step 3: Your order is forwarded to the owner and is received by Way to Russia Hotline representative. The owner should then confirm the availability of the hotel directly to you and issue a preliminary booking. All hotel owners listed on WayToRussia.Net aim to reply within 24 hours. Your order has the "Confirmed" status. If the hotel is not available, the hotel manager will offer you other similar options or refer back to WayToRussia.Net for more options. You are then free to reserve one of them or cancel your request. Step 4: After the preliminary booking is received by you, you might need to make the payment directly to the owner to secure the reservation (deposit of full rent), depending on the hotel owner's terms of service. We do not accept any payments, but you need to send us an e-mail once you paid to the owner, so that this information is recorded in our database. Step 5: The owner will confirm your payment was received and arrange your moving in the hotel directly with you over the e-mail or phone. Step 6: When you arrive, the owner's representative will meet you at the hotel, give you the keys and receipt, and receive the payment balance due (if applicable). The important difference here from other reservation systems is that Way to Russia representatives control the reservation process throughout all stages and can help you should any problems arise. Our customer support department, Way to Russia Hotline, processes hotel rental requests and forwards them to the owner. The reservation process is conducted under our supervision to ensure that all owners and real-estate agencies follow these simple rules: Rule #1: The owners should contact their clients as soon as possible, maximum within 24 hours Rule #2: The prices advertised on WayToRussia.Net should be the same or lower than anywhere else or than directly with the owners. Rule #3: The reservation process should be comfortable and the client should always know what happens next. Rule #4: The owner's representatives should speak English. Rule #5: The owner should honor the reservation and by all means avoid any changes or cancellations. In case of force-major the owner should find a suitable alternative for the client. Rule #6: The owner should always be willing to help the client in case he/she has a special requests. FULL TEXT - WAY TO RUSSIA HOTLINE INFORMATION SERVICE AGREEMENT Russian Federation, Moscow (Ways Ltd). 1 November 2005 This Agreement is governed by the Russian Federation law and the Russian Federation Civil Codex. This Terms and Condition Agreement document (further - "Agreement") represents an official public offer made by Ways Ltd (further - "Ways Ltd") regarding the Services provided by Way to Russia Hotline and constitutes an official intention by "Debra" to be bound by the terms in this "Agreement" in case it is accepted by the Client for the period outlined in this Agreement. If you have any questions regarding this contract, please, contact Way to Russia Hotline using the contact details provided in the end of this Agreement. 1. DEFINITIONS 1.1 The following terms and definitions are used in this Agreement: "Agreement" - this Terms and Coditions Agreement document "Ways Ltd" or "Debra" - Debra Limited company, which provides the service through Way to Russia Hotline website "Way to Russia Hotline" - the internet site located at http://hotels.waytorussia.net and all affiliate sites that serve information from Way to Russia Hotline. "Client" - a person representing himself or herself, a business, or organisation who is using Way to Russia Hotline and will be using Way to Russia Hotline Services. "Service" - the service provided by Ways Ltd through Way to Russia Hotline, outlined in Section 2 of this Agreement "Owner" - the company / private person / agent / operator which provides the hotel for rent to the Client "Contract" - this agreement accepted by the Client by making a Payment "Request" - initial request made by a Client who is interested in Way to Russia Hotline Services 1.2 This document may contain terms, which are not defined in 1.1, in that case they can be understood according to the text of this Agreement. 2. TERMS OF SERVICE Below the nature of Way to Russia Hotline service provided by Ways Ltd company is explained in details and our obligations and responsibilities are outlined. 2.1 "Ways Ltd" will provide information and accommodation reservation services (Services) to the "Client" according to this "Agreement". 2.2 The Services provided by "Ways Ltd" through Way to Russia Hotline constitute the following: - Providing information about various hotel rental opportunities in Russia. - Finding an appropriate hotel for the Client, according to the request submitted through Way to Russia Hotline or on other Affiliate Websites. - If the Hotel the Client requested is not available for the period requested, Ways Ltd representatives will offer an alternative hotel. - Contacting the Owner and reserving the hotel on the Client's behalf at special negotiated rates. - Quality control and monitoring of the owner's services and customer support. 2.3 In most cases owners require a deposit for the reservations. This deposit is to be paid directly by the client to the owner. Because the payment is arranged with and made directly to the owner, the rights and obligations regarding the accommodation arise between the Client and the Owner, and Ways Ltd is not responsible for the accommodation, nor for the deposit or rent. 2.4 "Ways Ltd" reserves the right not to provide Services to the Client at its own discretion. Although it is very rare, this may happen if the Clients breaches the Terms of this agreement or the Owner's Terms. 2.5 The hotel listings that are presented on Way to Russia Hotline website (and are served on Affiliate Websites) are placed by Owners and it is their responsibility to have these listings as accurate as possible. Way to Russia Hotline representatives constantly check accuracy of the information listed and add unbiased expert comments on accommodation. 2.6 It is the Owner that will reserve the hotel for Clients, provide the hotel for the rental, and provide the hotel services (such as cleaning, changing bed linens and towels, maintenance, client support). The Owner is responsible for all these services. The rental fee will be paid directly to the Owner. The Owner is also responsible for the hotel and for the quality of the Client's stay. 2.7 If in case of force-major the Owner cancels the reservation, Way to Russia Hotline representatives may offer other similar options to the Client. In such case, if the Client decides not to proceed with the reservation, the reservation request can be cancelled with no further obligations. 2.8 While living in the hotel reserved through Way to Russia Hotline, all technical and service questions should be addressed directly to the owner, if Client has difficulties communicating with the Owner or need general information about the city you're staying in, Way to Russia Hotline / Ways Ltd representatives can be contacted and they will do our best to help Client. 2.9 During the Client's stay, the Owner provides the hotel and has all the responsibilities for the Client's stay and belongings (if arranged with Owner before). Way to Russia Hotline and / or Ways Ltd accepts no liability and no responsibility for any loss, injury, or inconvenience sustained by anybody using the information presented on Way to Russia Hotline or renting the hotels presented on Way to Russia Hotline. However, Way to Russia Hotline representatives will always consider their duty to help the Client in an unlikely event of a problem. Please, note, that the accommodation contract will be signed between the Client and by the Owner and Way to Russia Hotline / Ways Ltd does not participate in this contract's terms, so all rights and obligations will arise between the two parties signing the contract, not Ways Ltd / Way to Russia Hotline. 2.10 Any other services offered to the Client are provided by third-party companies and it is their responsibility to ensure the quality of the services. 2.11 The full contact details of the Owner will be provided to Client in the Client's Reservation Confirmation E-mail if it is required by the Client. 3. PAYMENT TERMS: RESERVATIONS AND CANCELLATIONS This section outlines the Payment Terms for the accommodation and covers special cancelation and refund cases. 3.1 Way to Russia Hotline / Ways Ltd DOES NOT accept any payments from the clients. We get our income from the owners who pay us for advertising their hotels on Way to Russia. 3.2 Most owners require the deposit payment / rent to be paid before the reservation is finalized. If that is the case, your reservation is not final until such payment is received by the owner. The way this payment can be made depends on the owner, but usually it is credit card, cash, bank transfer, cash transfer. The Owner, not Ways Ltd, is fully responsible for the safety and handling of this payment, as well as the rent. 3.3 Different owners have different cancellation terms. You are informed about them at the moment of reservation (click "Owner Terms" to see specific terms of the owner) and also before you make the payment. These terms vary from time to time, but they usually allow you to cancel or amend your reservation for free or for a fee, which is usually maximum one night's stay. Typically, if you cancel not later than 14 business days before your arrival, the owner will return all the money paid minus any transaction charges. However, this depends on the specific owners and you will be informed about the precise reservation terms of the owner in the confirmation you receive before you make the payment. 3.4 The reservation cancellations / amendments should be dealt with directly with the owner. However, you must inform Way to Russia Hotline about any such cancellations / amendments, otherwise the cancellation / amendment may not be validated. If you need our help in communicating with the owner, we will be happy to assist you. 3.5 You should be informed about the cancellation / reservation terms of the Owner by the Owner before you make the payment. If you make the payment (deposit or rent) to the Owner you automatically accept their terms. If you were not provided with these terms or do not understand them, please, contact either the Owner to clarify them. Way to Russia Hotline cannot be responsible if you were not informed about or didn't understand the Owner's Terms before making the payment to the owner. 4. THE RESERVATION PROCESS Below a typical Reservation Process is outlined for your convenience. Although certain steps may be modified, the standard process will go through all the following stages: 4.1 The Client finds a suitable listing on Way to Russia Hotline and submits a Reservation Request through the Way to Russia Hotline Reservation Form accepting this Service and Payment Terms Agreement. 4.2 Your order is forwarded to the owner and is received by Way to Russia Hotline representative. The owner should then confirm the availability of the hotel and issue a preliminary booking. Sometimes delays occur at this stage because the owners do not inform us about availability directly. In this case we will do everything possible to reach the owner and get the confirmation and preliminary booking for you. Your order has the "Confirmed" status. If the hotel is not available, our representatives will carefully select suitable alternatives and propose them to you. You are then free to reserve one of them or cancel your request. 4.3 After the preliminary booking is received by us, we forward it to you along with the payment form of the owner. You need to make the payment directly to the owner to secure the reservation (deposit of full rent). After the payment is made by you to the owner you become bound by the owner's contract. Way to Russia Hotline does not accept any payments, but you need to send us an e-mail once you paid to the owner, so that this information is recorded in our database. 4.4 The owner will confirm your payment was received and arrange your moving in the hotel directly with you over the e-mail or phone. 4.5 When you arrive, the owner's representative will meet you at the hotel, give you the keys, contract, and receipt, and receive the payment balance due (if any). 4.6 When the Client arrives to Russia, he/she can arrive to the hotel on one's own or use the Owner's airport / taxi transfer service. In any case, the Owner's Representative will meet the Client in the Hotel at the time arranged, help moving in, provide the keys, and will accept the payment due. 4.7 There is no fixed check in / check out time, unless stated in the Owner's Terms for the hotel reserved. Please, refer to the Owner's Terms also to know about any special requirements regarding the hotel. 5. WAYS LTD GUARANTEE 5.1 Ways Ltd will make everything possible to provide the full Service of the highest quality according to the Terms of Service, however, we can not be liable or responsible for any actions or the results of actions carried out by the third parties (including, but not limited to communication providers, payment processors, owners, other service providers, etc.) 5.2 The hotels and appropriate level of accommodation service, visa support, taxi transfers, and all relevant services are guaranteed by Owners and the companies that provide this service, not Way to Russia Hotline. The Lardlords bear all responsibility for the hotels and any other services rendered to the Client. 6. AGREEMENT (OFFER) ACCEPTANCE 6.1 The Client fully and completely accepts this Agreement at the moment of ordering Way To Russia Hotline services online, over the phone or in person. 7. PERIOD OF THE CONTRACT 7.1 The acceptance by the Client of this Agreement forms a "Public Offer Contract" (further - "Contract"), according to Article 437 of the Russian Federation Civil Codex. The Agreement Terms form the Terms of the Contract. 7.2 This Contract will be activated starting from the moment of Acceptance and is valid until a) The hotel is reserved by Way to Russia Hotline for the Client; or b) Until the Contract is canceled by Ways Ltd or by the Client. 7.3 If this Agreement is modified or called back, the Contract between Ways Ltd and the Client will be valid as it is outlined in 7.2 and on the terms agreed at the moment of acceptance with the Client. 8. CONTRACT CANCELLATION 8.1 The Contract can not be cancelled by the Client unless there is a significant breach of the Terms of the Contract on the side of Ways Ltd. 8.2 The Contact can be cancelled by Ways Ltd at any moment at its own discretion by sending the Client according notification via the communication means provided by the Client. In this case Ways Ltd will return all the payments made by the Client minus the cost of the Services already rendered to the Client by Ways Ltd. 9. CONTRACT MODIFICATION 9.1 If any changes are made to the current Agreement, Ways Ltd reserves the right to demand a corresponding change to the Contract already made between Ways Ltd and the Client. 9.2 The changes to the Contract formed between Ways Ltd and The Client are valid only after they are accepted both by Ways Ltd and the Client. 10.
